Article 1 – Purpose
These Terms and Conditions of Sale define the terms applicable to the services provided by Circular Islands (hereinafter referred to as the “Service Provider”).
Article 2 – Services Provided
Circular Islands provides consulting, training, research and study services, as well as content development, in the field of circular economy, with particular expertise in island contexts.
Article 3 – Orders
All services are subject to a prior quotation, which must be accepted by the Client. An order becomes final upon receipt of the signed quotation.
Article 4 – Prices and Payment Terms
Prices are stated in euros excluding taxes (VAT excluded).
Payment terms are specified in the relevant quotation (e.g. 50% upon order and 50% upon delivery).
Payments shall be made by bank transfer.
Article 5 – Delivery Timeframes
Any timeframes provided are indicative. Circular Islands undertakes to inform the Client of any delay affecting the delivery of the services.
Article 6 – Right of Withdrawal
In accordance with Article L221-28 of the French Consumer Code (Code de la consommation), the right of withdrawal may not apply to services performed before the end of the statutory withdrawal period, under the conditions provided for by applicable law.
Article 7 – Liability
Circular Islands undertakes to perform its services with due care and professionalism. Circular Islands shall not, however, be held liable for direct or indirect consequences arising from the Client’s use of the results or deliverables provided.
Article 8 – Intellectual Property
Content and deliverables produced by Circular Islands remain its property until full payment of the relevant services. Following full payment, rights of use are granted to the Client unless otherwise specified in the quotation, contract or other applicable agreement.
Article 9 – Personal Data
Personal data collected by Circular Islands is used solely for the management of orders and the provision of services and is not transferred to third parties.
Article 10 – Disputes
In the event of a dispute, the parties shall first seek an amicable resolution. Failing such resolution, the dispute shall be submitted to the competent courts of Saint-Denis, Réunion Island, France.
